RIVALX GENERAL SWEEPSTAKES AND TOKEN TERMS AND CONDITIONS
These General Sweepstakes and Token Terms and Conditions (these "General Terms") apply to all sweepstakes, contests, and promotions (each, a "Sweepstakes") conducted by RivalX, Inc. ("RivalX" or "Sponsor") having an address at 228 Park Ave S, PMB 38452, New York, NY 10003-1502 as well as your receipt and use of all Tokens (as defined herein) issued through RivalX’s platform and services.
RivalX reserves the right to modify these General Terms at any time by posting an updated version of these General Terms. Any modifications will be effective upon posting. Your continued participation in any Sweepstakes or Tokens after modifications are posted constitutes your acceptance of the modified General Terms. Each Sweepstakes will be governed by the version of these General Terms in effect at the time of entry.
Each Sweepstakes, the use of any RivalX website, platform, forum, or application, the receipt or use of RivalX Tokens and RivalX's use of any user-generated content is also governed by the RivalX Terms of Service, which may be located at https://www.rivalx.com/terms. The RivalX Terms of Service are incorporated by reference into these General Terms. In the event of any conflict between these General Terms and the RivalX Terms of Service, these General Terms shall govern solely with respect to the Sweepstakes and Tokens.
SWEEPSTAKES TERMS
NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. MAKING A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.
By entering any Sweepstakes, you agree to be bound by these General Terms and the applicable Sweepstakes Details, and you acknowledge and agree that the decisions of the Sponsor regarding all matters relating to the Sweepstakes are final and binding. Please read these General Terms carefully before entering. Without limitation, these General Terms include indemnities to the Sponsor from you and a limitation of your rights and remedies. By participating in any Sweepstakes, entrants acknowledge and accept these General Terms and the applicable Sweepstakes Details. In the event of any conflict or inconsistency between these General Terms and the applicable Sweepstakes Details, the Sweepstakes Details shall govern solely with respect to that Sweepstakes. In all other circumstances, these General Terms shall control.
These General Terms along with the specific rules for each sweepstakes, provided when entering into the sweepstakes (the “Sweepstakes Details), constitute the complete official rules (the "Official Rules") for each Sweepstakes.
1. ELIGIBILITY
Each Sweepstakes is open only to permanent legal U.S. residents physically residing in the fifty (50) United States of America and the District of Columbia, who meet the minimum age requirement (typically 18 years old) as of the date of entry.
Employees of Sponsor and any entities associated with prizes or administration of a Sweepstakes, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies and any other entity involved in the development or administration of the Sweepstakes are not eligible to participate in or win that Sweepstakes.
EACH SWEEPSTAKES IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR WHERE BONDING, REGISTRATION, OR OTHER REQUIREMENTS WOULD BE REQUIRED BUT HAVE NOT BEEN MET, OR WHERE THE METHODS OF ENTRY WOULD BE DEEMED CONSIDERATION. ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS APPLY.
2. ENTRY PERIOD
The entry period for each Sweepstakes (the "Entry Period") will be specified in the applicable Sweepstakes Details.
3. HOW TO ENTER
Entry methods, including any specific instructions, will be specified in the applicable Sweepstakes Details.
By submitting an entry to any Sweepstakes, you agree that any content and information provided will be used as described in RivalX's Privacy Policy (https://www.rivalx.com/privacy), which is incorporated herein by reference. Sweepstakes-specific uses are detailed in these General Terms and the Sweepstakes Details.
Sponsor expressly reserves the right to disqualify any entries that it believes in good faith are generated by an automated program, script, macro, or other automated means. Entries generated by such automated means are void. In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the authorized account holder of the RivalX account.
All submissions must not infringe or violate any third-party rights (including but not limited to copyright, trademark, privacy, or publicity rights), and must not contain any unlawful, offensive, or inappropriate content as determined by Sponsor in its reasonable discretion.
4. PRIZES
The prizes available for each Sweepstakes (each, a "Prize") will be specified in the applicable Sweepstakes Details.
Publicity and Use of Winner's Information. Unless prohibited by law, acceptance of a Prize constitutes your consent for Sponsor to use your name, likeness, and similar biographical information for advertising, publicity, and inclusion on a publicly available winners list as described in these General Terms, worldwide and in all forms of media now known or hereafter developed, in perpetuity, in any manner Sponsor deems appropriate, without further compensation, review or approval rights, notifications, or permissions, except where prohibited by law.
Prizes are non-transferable and may not be substituted or redeemed for cash, except that Sponsor reserves the right, in its sole discretion, to substitute a prize or prize component with one of equal or greater value if the advertised prize becomes unavailable. Any difference between the actual value of any prize and the approximate retail value will not be awarded.
Prize delivery timelines will be specified in the applicable Sweepstakes Details. Each winner is solely responsible for the payment of all federal, state and local taxes and for any other fees or costs associated with acceptance or use of any prize. Winners may be required in Sponsor's sole discretion to complete relevant tax forms as a condition to the delivery of the applicable prize.
THE PRIZES ARE AWARDED "AS IS" AND SPONSOR DOES NOT MAKE ANY, AND HEREBY DISCLAIMS ANY AND ALL, REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE PRIZES.
5. ODDS OF WINNING
The odds of winning any Sweepstakes depend on the number of eligible entries received during the applicable Entry Period or for the applicable drawing, as specified in the Sweepstakes Details.
6. WINNER SELECTION AND NOTIFICATION
The winner selection process for each Sweepstakes, including the number of winners, selection method, and drawing date(s), will be specified in the applicable Sweepstakes Details. Unless otherwise specified in the Sweepstakes Details, winners will be selected by random drawing from among all eligible entries received during the Entry Period.
Each Sweepstakes will be conducted under the supervision of Sponsor.
Winner Notification, Response, Documentation, and Alternate Selection. Potential winners will be notified by the method specified in the applicable Sweepstakes Details (typically via the RivalX app, email, phone, or direct message); provided, however, that Sponsor reserves the right to determine an alternate method of notification.
Winners must claim their Prize within the time period specified in the Sweepstakes Details after the date of notification. Winners may be required to furnish proof of identity, address, and birth date in order to receive a Prize. Winners may also be required to execute and return Prize Claim Documents, such as an Affidavit of Eligibility, Liability Release, or Publicity Release, where applicable. Sponsor may conduct a background check to confirm eligibility and compliance with these General Terms and the Sweepstakes Details. By entering, you agree to cooperate reasonably with any such background check.
If a potential winner is ineligible, fails to comply with the Official Rules, declines a prize before it is awarded, or if any prize or prize notification is lost, intercepted, returned as undeliverable, or not received for any reason, that potential winner will be disqualified and an alternate winner may be selected. Failure to respond to a winner notification within the time stated in the Sweepstakes Details, to cooperate reasonably with a background check, or to execute and return any required Prize Claim Documents (including, where applicable, an Affidavit of Eligibility and a Liability and Publicity Release, and, where legally permissible, a Publicity Release) within the specified time, may also result in disqualification and selection of an alternate winner. If a potential winner has engaged in or does engage in any conduct that could damage the reputation or business of Sponsor, as determined by Sponsor in its discretion, the potential winner may be disqualified and the prize may be awarded to an alternate winner.
7. GENERAL CONDITIONS
Sponsor is not responsible for any errors or failures of electronic transmission, networks, servers, providers, computers, software, or mobile devices; for unauthorized access to or alteration of entries; for loss, damage, or injury to any person’s computer or mobile device related to any Sweepstakes; or for inaccurate transmission, or failure to receive any entry or prize claim, due to technical problems or Internet, website, app, or other traffic or congestion issues. Sponsor may modify or cancel the Sweepstakes if, in its discretion, it determines the Sweepstakes’ integrity has been compromised, and may disqualify any individual who tampers with the entry process, violates these General Terms, or engages in cheating, hacking, deception, or abuse of other entrants.
Entrants agree to comply with these General Terms and the applicable Sweepstakes Details, and, by participating, agree to release, discharge, indemnify, and hold harmless Sponsor, its promotional partners, and all entities and individuals involved in developing, producing, implementing, or distributing the Sweepstakes, and their respective parent companies, affiliates, subsidiaries, service providers, agencies, officers, directors, employees, agents, and attorneys (“Released Parties”) from any and all claims, damages, losses, or injuries of any kind (including death or property damage) arising out of or related, in whole or in part, directly or indirectly, to participation in any Sweepstakes, the awarding, delivery, acceptance, use, misuse, possession, loss, or misdirection of any prize, or any prize-related activity.
Sponsor is not liable for: (1) failed, returned, or misdirected notifications resulting from inaccurate information provided by an entrant; (2) entries or winner-notification responses that are lost, late, incomplete, illegible, unintelligible, postage-due, misdirected, damaged, or otherwise not received, or for related computer or technical errors; (3) electronic miscommunications or failures, including hardware or software problems, lost or unavailable network connections, or incomplete, garbled, or delayed computer transmissions that may limit participation; (4) technical malfunctions of telephone networks, online systems, computer equipment, software, or programs, or other human, mechanical, or technical failures, including any resulting injury or damage to any person’s computer or mobile device (such as from downloading applications) in connection with any Sweepstakes; or (5) any warranty regarding any prize or any of its components
8. LIMITATION OF LIABILITY
NOTWITHSTANDING ANYTHING ELSE HEREIN OR OTHERWISE, SPONSOR AND/OR ITS VENDORS SHALL NOT BE LIABLE OR OBLIGATED WITH RESPECT TO ANY SUBJECT MATTER OF ANY SWEEPSTAKES OR THESE GENERAL TERMS FOR (A) ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS), (B) DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, AND/OR (C) ANY MATTER BEYOND SUCH PARTIES' REASONABLE CONTROL.
9. WINNERS LIST AND OFFICIAL RULES
To receive the name(s) of the winner(s) of a specific Sweepstakes or a copy of the Official Rules for that Sweepstakes, send your written request by mail (postage-paid), together with a self-addressed, stamped envelope, specifying the name of the Sweepstakes and whether you wish to receive a copy of the Official Rules, the winners list, or both, to [insert address]. Requests must be received within 30 days after the end of the Entry Period, unless otherwise specified in the Sweepstakes Details.
10. ADMINISTRATOR
RivalX may, in its discretion, engage third-party administrators to organize, operate, and administer specific Sweepstakes. When a third-party administrator is engaged, that information will be provided in the Sweepstakes Details.
TOKEN TERMS
DIGITAL TOKENS
RivalX may award users non-transferable, digital tokens (“Tokens”) for participating in certain activities, games, or promotions, including sweepstakes. The accrual, use, and availability of Tokens are determined at RivalX’s sole discretion and may be changed, suspended, or terminated at any time without notice.
REDEMPTION
Tokens may be redeemed solely through RivalX’s digital rewards marketplace or such other means as RivalX may designate from time to time in its sole discretion, subject to availability of merchandise or prizes. RivalX may change redemption opportunities at any time in its sole discretion. Redemption of Tokens is subject to your compliance with these General Terms and any additional requirements described at the point of redemption. All Token redemptions are final, non-refundable, and may be subject to quantity limitations and item availability.
NO CASH VALUE; NON-TRANSFERABLE
Tokens have no cash, monetary, or property value, are not legal tender, and may not be redeemed for cash, transferred, assigned, or sold to any third party. Tokens may not be purchased, sold, bartered, or exchanged other than through official RivalX channels.
EXPIRATION & FORFEITURE
Tokens may expire or be forfeited as determined by RivalX, including (without limitation): (a) upon closure or inactivity of a user account for a period determined by RivalX; (b) upon termination or suspension of the user’s account; or (c) at any date or upon any event specified by RivalX. RivalX may also expire Tokens periodically or as required by applicable law.
MODIFICATIONS; DISCONTINUATION
RivalX reserves the right to modify, discontinue, terminate, or alter any aspect of the Tokens program, including accrual, redemption options, expiration, or value of Tokens at any time in its sole discretion.
LIMITATION OF LIABILITY
RivalX is not responsible for lost, stolen, deleted, or misused Tokens or for the availability, quality, or fulfillment of any prizes, merchandise, or digital goods offered for Token redemption. All Token-based redemptions are subject to availability and may change without notice.
